Terms & Conditions
Last Updated: September 25, 2026
These Terms & Conditions (“Terms”) govern purchases, subscriptions, trials, beta software, support, and use of products and services offered by Pergenex Software LLC (“Pergenex,” “we,” “us,” or “our”).
Certain Pergenex software products may also be subject to an applicable End User License Agreement (“EULA”). By purchasing, downloading, installing, accessing, or using a Pergenex product or service, you agree to these Terms and any applicable EULA.
1. About Pergenex Software
Pergenex Software LLC develops and distributes software products for Microsoft Outlook and Microsoft 365, including Classic Auto-Mate and Auto-Mate Next.
Our software is distributed digitally and is licensed for use rather than sold outright.
2. Products and Licensing
Pergenex may offer perpetual-license products, subscription products, free trials, evaluation versions, beta software, and different product editions or plans.
Classic Auto-Mate
Classic Auto-Mate is offered as a perpetual software license.
A perpetual license permits continued use of the licensed version of the software, subject to these Terms and the applicable EULA.
Classic Auto-Mate is offered in Standard and Professional editions.
Each license is intended for one licensed user and one primary mailbox. Organizations wishing to use Classic Auto-Mate for multiple users or mailboxes must obtain an appropriate license for each user or mailbox.
Auto-Mate Next
Auto-Mate Next may be offered under subscription-based plans.
Each subscription is intended for one licensed user and one primary mailbox. Organizations wishing to use Auto-Mate Next for multiple users or mailboxes must obtain an appropriate subscription for each user or mailbox.
Available plans, features, billing periods, and pricing will be identified at the time of purchase.
3. License Activation and Authorized Use
Certain Pergenex products require online license activation or periodic license validation.
Classic Auto-Mate licenses are generally associated with the licensed user’s primary email mailbox.
A Classic Auto-Mate license may be transferred to another eligible computer or environment by first deactivating the existing activation and then activating the license in the new environment.
For configurations in which mailbox-based licensing is not available, including certain POP-based Microsoft Outlook configurations, Classic Auto-Mate may use device-based activation. In these circumstances, a licensed user may activate the software on up to two computers.
Auto-Mate Next subscriptions are associated with one licensed user’s primary mailbox at a time. A subscription may be transferred to another eligible mailbox or environment after the existing activation has first been deactivated.
License keys, subscriptions, and activation rights may not be shared among multiple users, resold, or used simultaneously by unauthorized users.
Pergenex may use reasonable technical measures to enforce license and subscription restrictions.
4. Purchases and Payments
Purchases may be processed by Pergenex Software LLC or through an authorized third-party commerce provider acting as a payment processor or Merchant of Record.
Where a transaction is processed by Lemon Squeezy, Lemon Squeezy acts as Merchant of Record and is responsible for processing the payment, applicable transaction taxes, receipts, refunds, and related payment matters in accordance with its applicable terms and procedures.
The product, edition, subscription period, price, and applicable taxes or fees will be disclosed at checkout before the purchase is completed.
Pergenex reserves the right to change the prices of products offered for future purchase.
5. Subscriptions and Renewals
Certain Pergenex products, including commercial versions of Auto-Mate Next, may be offered under monthly, annual, or other recurring subscription plans.
Subscription pricing and billing frequency will be disclosed at checkout.
Subscriptions automatically renew for the selected billing period unless canceled before the applicable renewal date.
Customers may cancel a subscription at any time. Cancellation prevents future renewal charges, while subscription functionality remains available through the end of the already-paid billing period.
When the paid subscription period expires, subscription-based functionality becomes unavailable until the subscription is renewed or reactivated.
Pergenex may change subscription pricing from time to time. Any price change will apply only to a future renewal after appropriate notice and will not alter the price of a billing period that has already been paid.
6. Trials, Evaluation Software, and Beta Products
Pergenex may offer free trials, evaluation versions, preview releases, or beta versions of its software.
Trial and evaluation software may be subject to time limits, feature limitations, or other restrictions.
Auto-Mate Next is currently offered as a free beta.
Beta software may contain incomplete functionality, defects, or features that change before commercial release. Pergenex may modify, suspend, or discontinue a beta program at any time.
Participation in a beta program does not guarantee continued access, future pricing, continued availability of any particular feature, compatibility with future releases, or inclusion of beta functionality in the commercial version.
7. Software Updates
Pergenex may provide software updates, maintenance releases, security fixes, enhancements, or other improvements.
Availability of updates may depend on the product purchased, version owned, subscription status, or active maintenance entitlement.
For Classic Auto-Mate perpetual licenses, minor updates to the licensed major version are included during the applicable support and maintenance period.
A perpetual license does not automatically include future major-version releases.
8. Support, Maintenance, and Major-Version Upgrades
A new Classic Auto-Mate perpetual license includes 12 months of support and maintenance beginning on the date of purchase.
During this period, customers are entitled to technical support and minor software updates for the licensed major version.
After the support and maintenance period ends, the perpetual license continues to permit use of the licensed version of Classic Auto-Mate.
Future major versions are not included with the original perpetual license.
Eligible existing customers may be offered discounted pricing to upgrade to a future major version. Pergenex is not obligated to offer a particular upgrade discount or upgrade program indefinitely.
Purchase of a major-version upgrade constitutes a new perpetual-license purchase and begins a new 12-month support and maintenance period.
9. Refunds
Classic Auto-Mate purchases are covered by a 30-day money-back guarantee.
Paid Auto-Mate Next subscriptions are also covered by a 30-day money-back guarantee for the initial subscription purchase only.
The 30-day guarantee does not restart following a subscription renewal.
To receive a refund, the customer must deactivate the applicable license or subscription activation and discontinue use of the affected software.
Refunds for transactions handled through a Merchant of Record may be processed through that provider in accordance with the applicable transaction procedures.
Nothing in this section limits any rights that cannot legally be waived under applicable consumer-protection law.
10. Intellectual Property and Restrictions
Pergenex Software LLC retains all ownership rights in its software, documentation, trademarks, designs, technology, and other intellectual property.
Customers receive only the license or subscription rights expressly granted by these Terms and any applicable EULA.
Except where expressly permitted by applicable law or authorized by Pergenex in writing, users may not:
- copy or redistribute Pergenex software except as permitted by the applicable license;
- modify, reverse engineer, decompile, or disassemble the software;
- sublicense, resell, rent, or commercially exploit the software or license rights;
- remove proprietary or copyright notices; or
- use the software in violation of applicable laws or regulations.
11. Acceptable Use
Pergenex products and services may not be used for unlawful purposes, to interfere with the rights of others, or in a manner intended to circumvent software licensing, activation, security, or access controls.
Pergenex may suspend access or activation where there is reasonable evidence of license abuse, unauthorized distribution, fraud, or material violation of these Terms.
12. Disclaimer of Warranties
To the maximum extent permitted by applicable law, Pergenex products and services are provided without warranties beyond those expressly stated in these Terms, an applicable EULA, or other written agreement.
Pergenex disclaims implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the extent permitted by law.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Pergenex Software LLC and its licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of or inability to use Pergenex products or services, including loss of profits, revenue, business opportunities, or data.
To the extent permitted by law, Pergenex’s aggregate liability arising from a product or service will not exceed the amount paid by the customer for the product or service giving rise to the claim.
14. Suspension and Termination
Pergenex may suspend or terminate a license, subscription, service, or associated access where a customer materially violates these Terms or an applicable EULA, engages in unauthorized use or distribution, or circumvents licensing or security mechanisms.
Where a license or subscription is terminated, the customer must discontinue use of the affected software where required by the applicable license terms.
15. Privacy
Use of Pergenex websites, software, and services is also subject to the Pergenex Privacy Policy.

16. Changes to These Terms
Pergenex may update these Terms from time to time.
The current version will be published on the Pergenex website together with its “Last Updated” date.
Changes will not retroactively alter the substantive rights granted under a fully paid perpetual software license except where necessary to comply with applicable law, address misuse or security concerns, or enforce existing license restrictions.
For active subscription services, changes to applicable terms will take effect prospectively and subject to any notice required by law.
17. Governing Law
These Terms are governed by the laws of the State of Connecticut, without regard to its conflict-of-law principles.
18. Entire Agreement and Severability
These Terms, together with any applicable EULA, Privacy Policy, checkout terms, subscription terms, or other written agreement expressly incorporated into them, constitute the agreement governing the applicable Pergenex product or service.
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
